1. The Promoter

1.1 The Prize Draw is run by Michelin Ledger, operating the website michelinledger.com (the “Promoter”, “we”, “us”, “our”) (the “Website”).

1.2 The Prize Draw is in no way sponsored, endorsed, administered by, or associated with the Michelin Guide, Michelin, or any restaurant, chef, or venue named in connection with any prize, unless expressly stated in writing. “Michelin” and related marks are the property of their respective owners and are referenced for identification purposes only.

1.3 The Prize Draw is not sponsored, endorsed, or administered by any platform through which it may be promoted (including any social media platform), and each such platform is released from any responsibility by each entrant.

2. Eligibility

2.1 The Prize Draw is open to individuals who, at the time of entry: (a) are aged 18 years or over (or the age of majority in their place of residence, if higher); and (b) are legal residents of the United States (the fifty (50) states and the District of Columbia); and (c) hold a valid, registered account on the Website.

2.2 The Prize Draw is open to both new and existing Website account holders. Existing users do not need to create a new account; new users may create an account in order to enter.

2.3 The following persons are not eligible to enter or win: employees, officers, and directors of the Promoter and its group companies; their immediate families and members of their households; and any other person professionally connected with the administration of the Prize Draw.

2.4 The Promoter may require an entrant or winner to prove eligibility (including age and residence) and may disqualify any entrant who cannot do so.

3. Cost of entry

3.1 The Prize Draw is completely free to enter. No purchase is necessary to enter or to win, and no payment of any kind is required to the Promoter. Creating an account and logging a visit are free.

3.2 Entrants are responsible only for their own costs incurred in accessing the Website (for example internet or data charges), which will not increase as a result of entering.

4. Promotion period

4.1 The Prize Draw opens at 9:00 AM EST on October 1, 2026 and closes at 8:00 PM EST on October 31, 2026 (the “Closing Time”). Entries must be completed before the Closing Time to be included in the draw.

4.2 The Promoter's server clock is the definitive time for all purposes. The Promoter is not responsible for entries that are lost, delayed, corrupted, incomplete, or not received for any reason, including network, hardware, or software failures.

4.3 The Promoter reserves the right to extend, shorten, suspend, or cancel the Promotion Period in accordance with clause 12.

5. How to enter

5.1 To enter, an entrant must, before the Closing Time: (a) register for or sign in to a Website account (open to new and existing users); and (b) log a visit on the Website to a genuine Michelin-recognised dining experience (a restaurant listed in the Michelin Guide, including Michelin-starred, Bib Gourmand, and Michelin-selected establishments) that the entrant personally attended at any time on or after January 1, 2026; and (c) upload at least one photograph taken by the entrant at that dining experience as part of the logged visit; and (d) provide the venue name, the visit date, and any other details required by the entry form.

5.2 One entry per person. Each entrant may receive a maximum of one (1) entry into the Prize Draw, regardless of how many qualifying visits they log. Only one account per person may be used to enter; entrants who register or use multiple accounts may be disqualified.

5.3 A qualifying entry is achieved once an entrant who meets clause 2 has completed at least one valid logged visit under clause 5.1.

5.4 Entries must be submitted directly by the entrant. Bulk, automated, macro, or third-party entries, and entries via any agency or scheme, are void.

6. Photo and content requirements

6.1 Each uploaded photograph must: (a) have been taken by the entrant at the dining experience they are logging; (b) genuinely relate to a Michelin-recognised dining experience attended on or after January 1, 2026; (c) not infringe the intellectual property, privacy, or other rights of any third party; and (d) not contain unlawful, offensive, defamatory, or otherwise objectionable content, and not identify other individuals without their consent.

6.2 The Promoter may reject or remove any entry or photograph that it reasonably believes does not meet these requirements, and may disqualify the associated entrant.

6.3 Licence. By submitting a photograph and visit details, the entrant grants the Promoter a worldwide, non-exclusive, royalty-free licence to store, reproduce, and display that content on the Website for the purpose of operating the entrant's account and the Prize Draw. Any wider marketing use will only be made with the entrant's separate consent (see clause 10).

6.4 The entrant confirms they own or have all rights necessary to grant the licence in clause 6.3, and that the content is truthful and not misleading.

7. Verification and disqualification

7.1 The Promoter may verify any entry, including by requesting proof of the dining experience (for example a receipt, booking confirmation, or additional photographs) and proof of identity, age, and residence.

7.2 The Promoter reserves the right to disqualify, without notice, any entrant who: (a) submits a false, fraudulent, misleading, or fabricated entry (including fake, stock, AI-generated, or re-used photographs); (b) uses multiple accounts or identities to enter more than once; (c) tampers with the entry process or the operation of the Website; (d) acts in breach of these Terms or in a manner it considers unfair, dishonest, or intended to gain an unfair advantage; or (e) is or becomes ineligible under clause 2.

8. The Prize

8.1 The prize is one (1) reservation for two (2) guests for the Chef's Counter tasting menu at Atera, New York City (a two (2) Michelin-star restaurant) (the “Prize”), to be dined on November 7, 2026.

8.2 The Prize comprises the reservation and the Chef's Counter tasting menu for two (2) guests only. The Prize expressly excludes all extras, including but not limited to: travel to and from the venue, and any parking; accommodation; drinks, wine pairings, and beverage service, unless expressly included in the tasting menu; service charges, gratuities, and cover charges beyond the menu price; any à la carte additions, supplements, or upgrades beyond the standard Chef's Counter tasting menu; taxes not included in the menu price; and any personal or incidental expenses.

8.3 The Prize is for a fixed date of November 7, 2026 and is subject to the availability, booking policies, dress code, and terms of Atera. The date cannot be changed. If the winner is unable to attend on that date, the Prize will be forfeited and, at the Promoter's discretion, may be re-drawn. The winner (and their guest, if applicable) must be of legal drinking age if any alcohol is included.

8.4 The winner must confirm acceptance and provide the details required to make the reservation in time for the Promoter to secure the November 7, 2026 booking; failure to do so may result in forfeiture.

8.5 There is one (1) Prize available in this Prize Draw.

8.6 The Prize is non-transferable, non-refundable, and cannot be exchanged for cash or any other item, in whole or in part. No cash alternative will be offered, except that the Promoter may, at its sole discretion, substitute a prize of equal or greater value if the Prize (or any part of it) becomes unavailable for reasons beyond its reasonable control (for example if the selected restaurant cancels or closes).

8.7 The winner is solely responsible for any taxes, duties, or other liabilities arising from acceptance or use of the Prize, and for arranging anything not included in the Prize (see clause 8.2).

9. Winner selection and notification

9.1 The winner will be selected by a random draw from all valid entries received before the Closing Time. The draw will take place on October 31, 2026 at 8:00 PM EST, by a verifiably random process.

9.2 With one entry per person, each eligible entrant has an equal chance of winning.

9.3 The winner will be notified by email to the address registered to their Website account within 48 hours of the Closing Time.

9.4 The winner must respond and confirm acceptance of the Prize within 48 hours of the notification being sent, and provide any information reasonably required to claim the Prize and secure the reservation.

9.5 If the winner cannot be contacted, is found ineligible, does not respond within the required time, declines the Prize, cannot attend on November 7, 2026, or fails to meet these Terms, the Promoter reserves the right to forfeit the Prize and draw an alternative winner from the remaining valid entries. This process may be repeated until the Prize is validly claimed or the Promoter decides not to re-draw.

9.6 The Promoter will make all reasonable efforts to contact the winner. It is the entrant's responsibility to keep their account email address accurate and monitored.

10. Winner's name and publicity

10.1 The Promoter may publish or make available the first name and last initial and state/region of the winner to demonstrate that a valid award took place. Entrants can request that the amount of information published be reduced to the minimum required, or obtain details of the winner, by contacting info@michelinledger.com.

10.2 The winner may be asked, but is not obliged, to take part in reasonable post-event publicity. Any use of a winner's name, image, likeness, or submitted content for marketing beyond clause 10.1 will require the winner's separate written consent.

11. Data protection

11.1 The Promoter is the data controller of personal data submitted in connection with the Prize Draw and will process it in accordance with applicable data protection law and its Privacy Policy.

11.2 Personal data will be used to administer the Prize Draw (including verification, drawing the winner, awarding the Prize, and complying with legal obligations) and will not be used for other purposes without the entrant's consent.

11.3 The Promoter will retain entry data only for as long as necessary for these purposes and to satisfy any legal or regulatory record-keeping requirements.

12. General

12.1 The Promoter reserves the right to amend these Terms, or to suspend, cancel, or modify the Prize Draw, where it is necessary or reasonable to do so (including for reasons beyond its reasonable control, or to prevent fraud or abuse). Any changes will be posted on the Website.

12.2 The Promoter's decision on all matters relating to the Prize Draw is final and binding, and no correspondence will be entered into.

12.3 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.

12.4 No failure or delay by the Promoter in enforcing any provision is a waiver of its rights.

12.5 These Terms and any dispute arising out of them are governed by the laws of the State of New York, and the parties submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

13. Limitation of liability

13.1 Nothing in these Terms excludes or limits the Promoter's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.

13.2 Subject to clause 13.1, the Promoter is not liable for any loss or damage arising from: participation in the Prize Draw; acceptance, use, or inability to use the Prize; the acts, omissions, or terms of any third-party restaurant or supplier; or any technical failure affecting entry.

13.3 Subject to clause 13.1, the Promoter's total liability arising out of or in connection with the Prize Draw will not exceed the value of the Prize.

13.4 This clause does not affect the entrant's statutory rights.
